Oh yeah, the CD you can use on as many installs as you like. It's the license which dictates how the software is used.

I've never used the Upgrade version, but I'd guess it detects the existing OS, then allows you to install fresh (including format).
I have read of a way around having an existing OS though with the Upgrade version though (though you would have no license at all then).
